These Terms of Service ("Terms") govern your access to and use of Shona, a WhatsApp Business messaging platform operated by Galucy Niels Enterprises ("Galucy Niels", "we", "us", or "our"). By registering for or using the Service, you agree to be bound by these Terms.
Shona is a multi-tenant SaaS platform that enables businesses to send and receive WhatsApp messages through Meta's WhatsApp Business Platform. Features include bulk broadcast messaging, message template management, contact management, automation rules, and usage analytics.
The Service is provided "as is" and is subject to the additional terms of Meta's WhatsApp Business Policy, WhatsApp Business Terms of Service, and Meta Platform Terms, which you also agree to by using the Service.
You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of your business to use the Service. By registering, you represent that you meet these requirements.
You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to use the Service only for lawful purposes and in compliance with these Terms, Meta's policies, and all applicable laws.

Message templates are subject to review and approval by Meta. We are not responsible for Meta's approval or rejection decisions. Templates that receive a poor quality rating from Meta (RED status) may be paused or disabled; continued use of such templates may affect your messaging tier.
You are solely responsible for the content of all messages sent through your account.
Shona charges a SaaS subscription fee for use of the platform. Meta charges separately for message delivery through the WhatsApp Business Platform; you are responsible for maintaining a valid payment method on your Meta Business Manager account.
Subscription fees are billed in advance. Failure to pay may result in suspension of your account. Refunds are at our discretion and are not guaranteed.
The Service, including its software, design, trademarks, and content (excluding content you provide), is owned by Galucy Niels Enterprises and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.
You retain ownership of your content (messages, templates, contact data). By using the Service, you grant Galucy Niels a limited licence to process and store your content solely as necessary to provide the Service.
We will handle your data in accordance with our Privacy Policy. You are responsible for ensuring that any personal data you upload (such as contact lists) is processed in accordance with applicable data protection law, including obtaining the necessary consents from data subjects.
To the maximum extent permitted by applicable law:
You agree to indemnify and hold harmless Galucy Niels Enterprises and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Either party may terminate these Terms and your access to the Service with 30 days' written notice.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable. Continued use of the Service after the change takes effect constitutes acceptance.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be submitted to good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration, or as otherwise agreed in writing by the parties.
These Terms, together with our Privacy Policy and any subscription agreement signed between us, constitute the entire agreement between you and Galucy Niels Enterprises with respect to the Service and supersede all prior agreements and understandings.
